We provide representation to private lenders who make commercial and business loans. This includes obtaining security interests in both real estate and personal property, as well as protecting lenders with other types of mechanisms placing certain restrictions on borrowers and parties with whom borrowers may have certain types of third-party relationships.
Representation of lenders includes the creation of security interests to collateralize loans, including but not limited to drafting, reviewing, negotiating, and filing of promissory notes, construction loan agreements, deeds of trust, mortgages, security agreements, and financing statements or "UCC-1s". Our lender representation may involve loans where multiple parties may have competing security interests against the same collateral, necessitating title work or lien searches, and subordination agreements or marshalling agreements to define the rights and priorities of the various lienholders.
In addition to commercial lending transactions, we also represent SBA (Small Business Association) lenders in the preparation and closing of both SBA 7A and 504 program loans.
