Transactions involving the purchase and sale of business can be complex, and are frequently associated with merger and acquisition or "M & A" work. They can involve the purchase of all or only some portion of an entity's stock or assets. They can involve only a contractual combination of business interests, or an all-out merger, or joining, of entities, in which one or more corporate entities may cease to exist.

Once you have determined how to structure the deal, numerous documents will likely be needed. To start the process, you will likely need a Non-Disclosure Agreement, more commonly known as an NDA. The NDA permits the parties to disclose and receive information about the businesses involved, and protect that information during and after the disclosure process.
You may also need a Letter of Intent, certain of whose terms may by binding or non-binding. The Letter of Intent is essentially a statement of the material terms of your intended agreement and the parties' stated intent to negotiate exclusively for some period of time regarding same.
If the parties decide to move forward, then the parties will need a definitive agreement that structures the deal and specifically defines all of the terms of the transaction to be consummated between the parties. These agreements are sometimes called an asset purchase agreement or "APA" or a stock purchase agreement or "SPA".
In the course of a merger or acquisition, you may also need the help of other advisors such as accountants, lenders, or tax advisors.
